Terms of Service

1. Scope and Acceptance
These Terms of Service ("Terms") govern your access to and use of Maverto, including the web application, browser extension, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.
The Service is designed for business use. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Accounts and Security
- You must provide accurate and complete registration information.
- You are responsible for safeguarding credentials and all activity under your account.
- You must notify us promptly of any unauthorized access or security incident.
- We may require additional verification to protect accounts and the Service.
4. Subscription, Billing, VAT, and Cancellation
Paid plans are billed on a recurring basis as shown during checkout. Prices are stated net unless explicitly marked otherwise. VAT and other applicable taxes are calculated based on billing details and legal requirements.
- You authorize us (or our payment processor) to charge fees, taxes, and valid adjustments.
- You can cancel renewal at any time in billing settings; cancellation applies from the next billing cycle.
- Unless required by law, paid fees are non-refundable for elapsed service periods.
- Invoicing and tax handling follow applicable EU and local tax legislation.
5. Data Roles (GDPR)
For personal data contained in workspace content, your organization is typically the controller and Maverto acts as processor. For account, billing, support, and service security data, Maverto acts as controller. Where required, processing is governed by a Data Processing Addendum (DPA).
6. Your Content and Intellectual Property
You retain ownership of content you submit to the Service ("Customer Content"). You grant us a non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Service.
You are responsible for ensuring that Customer Content is lawful and that you have all necessary rights and permissions.
7. Acceptable Use
You must not:
- Use the Service in violation of applicable law or third-party rights.
- Attempt unauthorized access, reverse engineering, or interference with the Service.
- Upload malware, malicious scripts, or unlawful content.
- Use the Service to process data where you lack a legal basis or authorization.
8. Browser Extension and Third-Party Sites
The browser extension is used to show workspace guidance in context. The extension is designed to match content based on the current URL and does not intentionally ingest full third-party page content for storage in Maverto. Your use of third-party websites remains subject to their own terms.
9. Availability, Changes, and Support
We may update features, APIs, and infrastructure over time. We may perform planned or unplanned maintenance and make reasonable efforts to communicate material changes.
10. Suspension and Termination
You may stop using the Service at any time and may close your account according to product settings. We may suspend or terminate access where required for security, abuse prevention, legal compliance, or material breach of these Terms.
Upon termination, access to the Service ends. Data handling after termination follows the Privacy Policy, contractual commitments, and applicable retention obligations.
11. Warranty Disclaimer and Liability
The Service is provided "as is" and "as available" to the maximum extent permitted by law. To the maximum extent permitted by law, we disclaim implied warranties (including merchantability, fitness for a particular purpose, and non-infringement).
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, willful misconduct, gross negligence, death, or personal injury where legally applicable. Mandatory consumer rights remain unaffected.
12. Governing Law and Disputes
These Terms are governed by the laws of the Czech Republic, excluding conflict-of-law rules.
For business customers, disputes shall be submitted to the competent courts in the Czech Republic, unless otherwise required by mandatory law.
If mandatory consumer law applies, you retain all rights and forum protections granted by that law. We do not require mandatory arbitration for consumers where prohibited.
13. Changes to These Terms
We may update these Terms to reflect legal, operational, or product changes. Material changes will be notified through appropriate channels (for example, in-product notice, email, or website update). Continued use after the effective date constitutes acceptance of the updated Terms.
